1. Agreement to these terms

These Terms & Conditions (“Terms”) govern your access to and use of sealcraftca.com and any content, materials, downloads and forms available through it (the “Site”). The Site is owned and operated by Seal Craft, LLC, 8318 1/2 US Hwy 2 East, Devils Lake, ND 58301, United States of America (“Seal Craft,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Eligibility

The Site is intended for use by individuals who are 18 years of age or older. By using the Site, you represent that you are at least 18 and have the legal capacity to enter into these Terms.

3. Changes to these terms

We may revise these Terms at any time by posting an updated version on this page with a new “Last updated” date. Changes take effect when posted. Your continued use of the Site after changes are posted means you accept the revised Terms. We encourage you to review this page periodically.

4. Permitted use of the Site

You may use the Site for lawful purposes only, and to learn about, evaluate and inquire about our products. You agree not to:

5. Intellectual property

All content on the Site — including text, product descriptions, specifications, photographs, video, illustrations, drawings, logos, trademarks, trade dress, page layout and the Seal Craft name — is owned by Seal Craft or its licensors and is protected by Canadian and United States copyright, trademark and other intellectual property laws.

You may view the Site and download or print materials we make available for download (such as spec sheets and pricing sheets) for your own personal, non-commercial evaluation purposes, provided you do not alter them and you keep all proprietary notices intact. No other right or licence is granted.

Our product designs, including our patent-pending TPU hull, and our trademarks may not be used without our prior written permission.

6. Submissions and communications

Any inquiry, question, comment, suggestion, photograph, specification or other material you send us through the Site or by email (a “Submission”) is provided on a non-confidential basis. By making a Submission, you grant Seal Craft a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce and incorporate the Submission for the purpose of responding to you, improving our products, and operating our business. We will not publish your name or contact details in marketing materials without your permission.

Personal information you submit is handled in accordance with our Privacy Policy.

7. Product information, specifications and images

We work to keep product information on the Site accurate and current, but:

The Site does not describe every feature, limitation or requirement of our products. Do not rely on the Site alone when making a purchasing decision. Ask us for current written specifications.

8. Pricing, quotes and orders

No offer to sell. Information on the Site, including any pricing sheet made available for download, is provided for general information and is an invitation to inquire. It does not constitute an offer to sell, and it does not create a binding agreement between us.

Quotes. Any price we provide is valid only if given in writing by Seal Craft, applies only to the configuration described, and is valid for 30 days from its date unless we state otherwise. Prices in Canada are quoted in CAD unless expressly stated otherwise on the quote.

Orders. An order is binding only once accepted in writing by Seal Craft and any required deposit has been received. We may decline any order.

Taxes, duties and delivery. Unless a written quote expressly states otherwise, quoted prices do not include GST/HST/PST/QST or other applicable taxes, customs duties, tariffs, customs brokerage or clearance fees, freight, insurance, registration or licensing fees. Those amounts are the buyer’s responsibility. Delivery dates are estimates and are not guaranteed.

9. Importation, registration and regulatory compliance

Our products are manufactured in the United States. If you purchase a unit for use in Canada, you are responsible for satisfying all applicable Canadian import, licensing, registration, safety and operating requirements, including any requirements of the Canada Border Services Agency and Transport Canada, and any provincial requirements that apply where you operate the vessel.

We will provide documentation reasonably available to us to support importation, but we do not warrant that any product, as configured, meets the requirements of any particular Canadian province or intended use. If compliance for a specific use — including search and rescue, commercial, or public safety operation — is critical to you, confirm the requirements with the relevant authority before you order.

10. Warranty

New units are covered by Seal Craft’s written limited warranty, which is provided with the unit and forms the complete statement of the warranty coverage we offer. In summary, and subject to the terms, conditions, exclusions and claim procedures of that written warranty:

Any warranty summary on the Site is provided for convenience. Where a summary on the Site conflicts with the written limited warranty document, the written limited warranty governs.

Except for the written limited warranty, and except for any warranties, conditions or guarantees that applicable consumer protection legislation does not permit us to exclude, we make no other warranties or conditions of any kind, express or implied, including implied warranties of merchantability, merchantable quality, durability, or fitness for a particular purpose.

11. Safety and assumption of risk

Operating a boat is an activity with inherent risks, including risk of serious injury or death. You are responsible for operating our products safely, in accordance with the owner’s manual, the operating limits stated for the unit, and all applicable boating laws and regulations, and for ensuring that operators are trained, licensed where required, and using appropriate safety equipment. Nothing on the Site should be understood as advice about whether a particular product is suitable or safe for your intended conditions or use.

12. Site availability and disclaimer

The Site is provided on an “as is” and “as available” basis. We do not warrant that the Site will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components, or that any defect will be corrected. We may modify, suspend or discontinue the Site or any part of it at any time.

To the fullest extent permitted by applicable law, we disclaim all warranties and conditions of any kind relating to the Site, whether express, implied, statutory or otherwise.

13. Limitation of liability

To the fullest extent permitted by applicable law, Seal Craft and its owners, officers, employees, agents and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, business opportunity, or use, arising out of or relating to your use of or inability to use the Site, whether based in contract, tort (including negligence), strict liability, or any other theory, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to the Site will not exceed one hundred Canadian dollars (CAD $100).

These limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any right or remedy you have under consumer protection legislation in your province that cannot lawfully be waived. Nothing in these Terms limits the rights of a consumer under the Quebec Consumer Protection Act or comparable legislation in other provinces. Liability arising from the sale of a product is governed by the written limited warranty and the sale documents, not by this Section.

14. Indemnity

You agree to indemnify and hold harmless Seal Craft and its owners, officers, employees and agents from any claim, demand, loss, liability or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party. This section does not apply to the extent the claim arises from our own negligence or wilful misconduct, and does not apply to consumers to the extent prohibited by applicable law.

15. Third-party links and content

The Site contains links to third-party websites, including sealcraftusa.com, and may embed third-party content such as video players and downloadable documents hosted elsewhere. We do not control those sites or services and are not responsible for their content, products, or practices. Links are provided for convenience and do not imply endorsement.

16. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes what personal information we collect, how we use it, and the rights available to you. By using the Site, you acknowledge that personal information you submit is stored and processed in the United States, as described in that policy.

17. Governing law and jurisdiction

These Terms are governed by the laws of the State of North Dakota and the federal laws of the United States applicable in it, without regard to conflict of laws principles. The courts located in Ramsey County, North Dakota will have jurisdiction over any dispute arising out of or relating to these Terms or the Site.

If you are a consumer resident in Canada, this section does not deprive you of the protection of the mandatory consumer protection laws of your province, and does not prevent you from bringing proceedings in the courts of your province where the law of that province gives you that right. Consumers resident in Quebec may bring proceedings before the courts of Quebec.

18. Language

The parties have requested that these Terms and all related documents be drawn up in English. Les parties ont demandé que les présentes conditions et tous les documents connexes soient rédigés en anglais.

Where a French version of these Terms is provided and there is a conflict between the English and French versions, the French version prevails for users resident in Quebec.

19. General

Severability. If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms. We may assign them to an affiliate or in connection with a sale or reorganization of our business.

Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and Seal Craft regarding your use of the Site. They do not replace or modify the terms of any quote, purchase agreement or written limited warranty, which govern the sale of a product.

Survival. Sections 5, 6, 10, 12, 13, 14, 17 and 19 survive any termination of your access to the Site.
